Annual General Meeting 2015/16

The AGM re-elected Fredrik Cappelen, Gunnel Duveblad, Johan Fant, Tomas Franzén, Mattias Miksche and Maija Strandberg as directors of the Board and elected Caroline Berg and Mia Brunell Livfors as new directors of the Board, and re-elected Fredrik Cappelen as Chairman of the Board. The AGM re-elected the registered accounting firm EY as auditor until the close of the 2016/17 AGM. Jennifer Rock Baley will continue as auditor-in-charge.

The AGM approved the annual report for 2015/16 and resolved on dividend of SEK 2.40 per share. The record date was decided to be Thursday 15 December 2016. The dividend is estimated to be paid out to the shareholders on Tuesday 20 December 2016.

The AGM discharged the directors of the Board and the CEO from liability for the financial year 2015/16.

The AGM also resolved to:

• approve remuneration to the Board and auditor and procedures for the Nomination Committee;
• approve guidelines for the remuneration to senior executives as well as the principles and scope for Dustin's long term share-related incentive plan 2017. The Incentive plan consists of an issue of not more than 1,159,996 warrants, in one series, within the scope of an employee incentive plan for group management. In total, approx. 25 persons will be invited to participate in the plan. The warrants shall be able to be subscribed for by the wholly-owned subsidiary Dustin AB, which shall transfer the warrants to employees within the group. The transfer of the warrants to the participants shall be made at a price corresponding to the market value of the warrant (i.e. the premium). Based on the number of shares and votes outstanding in the company, the proposed incentive plan implies, upon exercise of all 1,159,996 warrants, a full dilution corresponding to approximately 1.5 per cent of the total number of shares and votes outstanding in the company. The incentive plan also gives participants in Norway a possibility to participate in a synthetic option plan.
