Investment in next-generation software designed to enhance GPU performance
Vaultz Capital plc (AQSE: V3TC) is pleased to announce that it has completed an investment of £3.0 million in a newly incorporated software company (the "investee company") whose hardware agnostic technology materially extends the performance of both consumer and commercial grade hardware enabling workloads to operate beyond conventional memory limits.
Highlights
- Subscription of £3.0 million by way of a new equity issue representing approximately 2.3% of the investee company's enlarged share capital (the "Investment").
- The investee company has developed a patented software layer which optimises how memory and compute resources are utilised. The technology has been independently benchmarked and validated on third party infrastructure spanning consumer and frontier class systems;
- The Investment has been primarily funded from the Company's bitcoin treasury through the sale of 47 bitcoin at an average price of £62,914 ("Disposal"). Following the Disposal, Vaultz holds 86 bitcoin, valued at approximately £5.41 million at 1 October 2026, together with cash of approximately £0.4 million.
- The Investment represents a first deployment of a portion of treasury into a high-growth technology position that the Board believes has the potential to be transformational for shareholder value.
Charlie Wood, Chairman of Vaultz Capital, commented: "AI requires enormous computing power, with access to GPUs, the specialist chips widely used to train and run AI models, becoming an increasingly important constraint on its growth. The memory available on each GPU can also limit the size of the workload it can handle, meaning larger workloads may require multiple GPUs working together. This technology is designed to overcome that limitation, allowing larger workloads to run on existing hardware and potentially reducing the number of chips, infrastructure and energy required. With independent testing already demonstrating the technology across real workloads and hardware, we see considerable commercial potential."
DETAILS
The Investee Company
The investee company has built a software layer that sits between Artificial intelligence ("AI") and high-performance-computing ("HPC") workloads and the Graphics Processing Units ("GPU") on which they run.
Every GPU has a hard limit on the size of problem it can hold in its own memory; beyond that limit, the industry's answer has been more GPUs connected with expensive, specialist networking.
The investee company's technology addresses this constraint at the software level, allowing a single GPU, including older and lower-cost hardware, to process workloads that would otherwise require a large cluster, whilst also allowing groups of GPUs to scale without being subject to the same networking constraints associated with conventional architectures.
The technology is hardware-agnostic and is designed to operate within standard AI serving and training stacks without requiring modification to the underlying hardware or AI models.
Independent benchmarking has demonstrated increases in usable compute per GPU, reductions in the time and cost associated with model fine-tuning, faster response times for long document inference, and reductions in energy consumed per unit of useful work.
The technology has also been demonstrated on non-AI workloads, including a full-resolution operational weather model run on a single desk-side device.
The addressable market comprises the global installed base of GPU compute across AI training and inference, cloud infrastructure, enterprise and sovereign computing, and scientific and financial modelling.
The identity of the investee company is not being disclosed at this time as certain information remains commercially sensitive. The Company has agreed to maintain confidentiality regarding its identity and will provide further information on its commercial development when appropriate.
Terms of the Investment
Vaultz has subscribed for 449,101 new ordinary shares at a price of £6.68 per share for total consideration of £3.0 million, representing a pre-money valuation of £90 million and a post-money valuation of £95 million. The Investment forms part of a £5.0 million funding round.
Vaultz holds approximately 2.3% of the enlarged share capital of the investee company.
The identity of the investee company and certain further terms of the investment are being kept confidential for commercial reasons.
Bitcoin Disposal
The Investment has been primarily funded from the Company's treasury through the sale of 47 bitcoin, realising approximately £2.96 million at an average price of £62,914 per bitcoin. Following the Disposal, the Company holds 86 bitcoin with a market value of approximately £5.41 million (based on a bitcoin price of £62,914 as at 1 October 2026), together with cash of approximately £0.4 million. The Company's modified net asset value per share, including the Investment at cost, is approximately 3.41 pence.
Rationale for the Investment
The Board's investment case is based on four principal considerations:
- A fundamental constraint in GPU computing - the memory constraint of GPU's represent an important constraint on the scale and economics of AI and other compute intensive workloads;
- Demonstrated technology - the technology has progressed beyond theoretical claims, with independent benchmarking and testing conducted on third-party hardware and real workloads, together with property protection through allowed patents; and
- Commercial opportunity - the investee company's commercial strategy includes engagement through the partner ecosystem and cloud infrastructure providers.
Related party transaction
Charlie Wood and Fungai Ndoro, both directors of the Company, have co-invested alongside the Investment, investing an aggregate amount of £140,000, on the same terms as the Company.
Charlie Wood and Fungai Ndoro are both directors of the Company and their co-investment alongside the Company is therefore a Related Party Transaction for the purposes of the Aquis Growth Market Access Rulebook. Ian Burns, the director of the Company independent of the co-investment having exercised reasonable care, skill and diligence, considers that the co-investment by Charlie Wood and Fungai Ndoro is fair and reasonable as far as the shareholders of the Company are concerned.
