Director Appointment
The Company is pleased to announce that Gordon Humphries has been appointed to the board of directors of the Company (the "Board") as an independent non-executive Director with effect from 1 November 2026 and will also serve as a member of the Audit and Risk and Management Engagement Committees.
Mr. Humphries will stand for election at the AGM to be held in May 2027, and assuming his election is approved by shareholders, he will assume the role of Chair of Audit and Risk Committee following the AGM, when Fleur Meijs will step down from the Board.
In accordance with UK Listing Rule 9.6.13, Mr Humphries advises that he is a non-executive director of JP Morgan Small Cap Growth & Income Trust PLC. Previously, he was a non-executive director of Maven Income & Growth VCT 5 PLC (until April 2025) and non-executive director of Foresight VCT PLC (until June 2023). There are no other details to be disclosed in accordance with the FCA's Listing Rule 9.6.13.
Mr Humphries is an experienced investment company director and chartered accountant with over 35 years' experience in financial services, particularly the investment trust sector. He was formerly Head of Investment Companies at Standard Life Investments and Joint Head of Investment Trusts at F&C Asset Management. Gordon is a non-executive director and Chair of the Audit Committee of JPMorgan UK Small Cap Growth & Income plc. He previously served as Chair of the Association of Investment Companies and as a director of Foresight VCT plc and Maven Income and Growth VCT 5 plc. He holds an MA (Hons) in Economics and Accountancy from the University of Edinburgh.
As at the date of this announcement, he holds 23,047 shares in the Company.
