Extraordinary General Meeting of Shareholders on 14 November 2014

The Extraordinary General Meeting of Shareholders of Ballast Nedam N.V. shall be held at the offices of Ballast Nedam N.V., Ringwade 71, Nieuwegein, at 14:00 hours on Friday, 14 November 2014.
On the agenda are an amended to the Articles of Association and the composition of the Supervisory Board.
The proposal to amend the Articles of Association includes splitting the roles of Company Secretary and secretary to the Supervisory Board. The Supervisory Board also proposes to nominate Mr. J.S.T. Tiemstra for appointment as member of the Supervisory Board. Both agenda items are voting items.
The nomination and appointment of Mr. Tiemstra are related to the announcement made early June that Mr. A.N.A.M. Smits is standing down from the Supervisory Board. Once the appointment of Mr. Tiemstra has taken place, Mr. Smits will resign from the Supervisory Board.
Mr. J.S.T. (Tjalling) Tiemstra was born on 16 November 1952. He is currently a director and major shareholder of TMS Management Services B.V., an enterprise specialised in consultancy, executive coaching and interim management. Previously, Mr. Tiemstra was CFO of Hagemeyer and Hollandsche Beton Group, and he held multiple (international) positions with Unilever. Mr. Tiemstra holds and held various supervising and advisory positions, amongst others with the AFM (Dutch Financial Markets Authority) and the Dienst Uitvoering Onderwijs (Government institution for education related payments), and holds positions in the boards of different 'continuity foundations', among which Koninklijke Boskalis Westminster.
In addition, Mr. Tiemstra is currently a member of the supervisory board of Bruynzeel Holding B.V. in Bergen op Zoom, Batenburg Techniek N.V. in Rotterdam, Reinier de Graaf Gasthuis / HAGA (a hospital) in Den Haag and Koninklijke HaskoningDHV Groep B.V. in Nijmegen.
Immediately prior to the Extraordinary General Meeting of Shareholders, a meeting of holders of depositary receipts of the Ballast Nedam Administration Office (Stichting Administratiekantoor van aandelen Ballast Nedam) also takes place on Friday 14 November 2014 at 13.00 hours at the offices of Ballast Nedam N.V., Ringwade 71, 3439 LM Nieuwegein, the Netherlands.
