Further Strengthens Access to Satellite, Digital Terrestrial, and Cable Markets

Adds Two Network Operators to Liberate's Expanding European and International Customer Base

San Carlos, California - Liberate Technologies (Nasdaq: LBRT) has announced that it has signed a definitive agreement to acquire privately-held MoreCom, Inc., a leading provider of standards based interactive television infrastructure based in Horsham, PA. Under terms of the acquisition, Liberate will issue common stock valued at 561 million US dollars to existing MoreCom shareholders. The all-stock transaction will be accounted for using purchase accounting and closing is anticipated to occur in the second calendar quarter of 2000. The acquisition is subject to customary closing conditions and regulatory approval.

The acquisition extends Liberate's technology leadership by adopting MoreCom's significant digital television, DVB, MHP and MPEG expertise and technologies, which are essential for serving the satellite and digital terrestrial marketplace. MoreCom offers cable, satellite and digital terrestrial operators a complete end-to-end software solution to merge digital video with Internet content for television applications using existing broadband networks and digital set-top boxes. As part of the transaction, Liberate also obtains MoreCom's patent portfolio addressing various aspects of digital television and Internet integration.

The acquisition also brings two influential network operators to Liberate's expanding European and international customer base. In Germany, the acquisition brings the d-box network™ operator BetaResearch, a KirchGruppe company, with access to over 4 million subscribers in one of the world's largest cable and satellite marketplaces. Deployments of MoreCom products should begin with the satellite properties later this year. In addition, the acquisition also delivers the Israeli based Golden Channels with over 600,000 cable subscribers who will have access to the combined Liberate and MoreCom solutions.
